Terms of Service

These terms govern your use of Cove, provided by FiveW Technology Ltd ("we", "us"). By signing up or using Cove, you agree to these terms.

Who we are

1. What Cove is

Cove is a sales intelligence platform that helps you and your team manage opportunities, analyse deals, and improve sales activity. Features include lead management, pipeline tracking, AI-generated insights, call transcript analysis, and MCP integration with AI assistants.

2. Your account

Signing up. You must be at least 18 and legally able to enter a contract. If signing up on behalf of a company, you confirm you have authority to bind it to these terms.

Account security. You're responsible for keeping your login credentials safe. Tell us immediately if you suspect unauthorised access.

Accurate information. Keep your account information current. We may suspend accounts with false information.

3. Free trial and payment

14-day free trial. New accounts get a 14-day trial, no credit card required.

Subscriptions. After the trial, continued use requires a paid subscription. Current pricing is shown at growwithcove.com/#pricing. Prices are exclusive of VAT unless stated otherwise.

Billing. Subscriptions renew automatically until cancelled. You'll be charged in advance for each billing period.

Refunds. Monthly subscriptions are not refundable. Annual subscriptions may be refunded on a pro-rata basis at our discretion within 30 days.

Cancellation. You can cancel at any time from your account settings. Your access continues until the end of your paid period.

Price changes. We may change prices with 30 days' notice. Existing customers will be notified by email.

4. Acceptable use

You agree not to:

• Break any laws using the Service
• Upload illegal, harmful, or infringing content
• Attempt to gain unauthorised access to Cove or other accounts
• Reverse-engineer, decompile, or extract source code
• Use Cove to send spam or unsolicited messages
• Interfere with other users or the Service's operation
• Resell or sublicense the Service without permission
• Use automated tools to access the Service in ways that overload it
• Use the Service to build a competing product

We may suspend or terminate accounts that breach these rules.

5. Your content

You own your data. Any leads, deals, transcripts, notes, files, or other content you upload ("Your Content") remains yours.

Licence to us. You grant us a limited licence to store, process, transmit, and display Your Content solely to provide the Service. This includes processing content through third-party AI providers (like Anthropic) to generate insights.

Your responsibility. You're responsible for Your Content, including having the right to upload it and share it with us. Don't upload data you don't have permission to process.

AI processing. Your Content may be sent to AI providers for analysis. We use Anthropic's Claude API and require them to not use your content to train their models.

Deletion. When you delete content or your account, we'll remove it from active systems within 30 days. Backups may retain data for up to 90 days.

6. Our intellectual property

Cove, including its software, design, branding, and documentation, is owned by FiveW Technology Ltd. These terms don't grant you any rights to our IP beyond using the Service as intended.

7. Availability and support

Uptime. We aim for high availability but don't guarantee uninterrupted service. We may perform maintenance with reasonable notice.

Support. Email support at hello@growwithcove.com. Response times depend on your plan.

Changes to the Service. We may add, change, or remove features. Material reductions in functionality will be communicated in advance.

8. MCP integrations

Cove can be connected to third-party AI assistants (such as Claude Desktop, ChatGPT) via the Model Context Protocol (MCP). When you enable MCP:

• You grant the connected AI assistant access to your Cove data
• The AI assistant's provider becomes a separate data controller for their processing
• We're not responsible for how third-party AI assistants use or process your data
• You can revoke MCP access at any time from your account settings

9. Third-party services

Cove uses third-party services (Anthropic, AWS, Stripe, SendGrid, Cloudflare, Render). Their terms and privacy policies apply to their portions of the Service. We're not responsible for issues caused by third-party services.

10. Limitation of liability

No warranties. The Service is provided "as is" without warranties of any kind, express or implied. We don't guarantee it will meet your requirements or produce specific outcomes.

AI accuracy. Cove's AI features generate insights based on your data. These are for guidance only, not professional advice. You're responsible for decisions you make based on AI outputs.

Limitation. To the maximum extent permitted by law:

• Our total liability for any claim arising from these terms is limited to the fees you paid in the 12 months before the claim
• We're not liable for indirect, consequential, or special damages
• We're not liable for lost profits, lost data, or business interruption

Nothing in these terms limits liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Anything that can't be limited under UK law

11. Indemnity

You agree to indemnify FiveW Technology Ltd against claims arising from:

• Your breach of these terms
• Your Content
• Your use of the Service in violation of law

12. Termination

By you. Cancel your subscription at any time. Your data will be retained per our Privacy Policy.

By us. We may terminate accounts that breach these terms, fail to pay, or become dormant. We'll give reasonable notice unless a serious breach warrants immediate action.

Effect of termination. Your right to use the Service ends. You can export your data for up to 30 days after termination. After that, we may delete it.

13. Changes to these terms

We may update these terms. Material changes will be communicated by email or in-app notice at least 14 days before taking effect. Continued use after changes means you accept them.

14. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

15. General

Entire agreement. These terms plus our Privacy Policy form the entire agreement between us.

No waiver. Failing to enforce a right doesn't waive it.

Severability. If any term is unenforceable, the rest remain in effect.

Assignment. You can't transfer your rights or obligations under these terms. We may transfer ours in the event of a merger, acquisition, or sale of assets.

No third-party rights. These terms don't give rights to anyone who isn't party to them.
